These Terms of Use (“Terms”) govern your use of ProTalkie (the “App”), provided by PPLST Tech (“we,” “our,” “us”). By downloading, accessing, or using ProTalkie, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. License to Use

• We grant you a limited, non-exclusive, non-transferable, revocable license to use ProTalkie for personal, non-commercial purposes in accordance with these Terms.

• You may not copy, modify, distribute, sell, or lease any part of the App without our prior written permission.

2. User Responsibilities

By using ProTalkie, you agree to:

• Use the App only for lawful purposes and in compliance with all applicable laws.

• Not misuse the App, attempt unauthorized access, interfere with operation, or disrupt communication.

• Be solely responsible for the content you send through Talkie messages, including compliance with copyright, data protection, and privacy laws.

3. Communication Disclaimer

• ProTalkie is not a guaranteed communication service. Talkie messages may be delayed, fail to send, or fail to auto-play due to factors beyond our control (such as network issues, device settings, or third-party service interruptions).

• We do not guarantee that messages will always be delivered, received, or stored without error.

• You acknowledge that ProTalkie should not be relied upon as the sole method of communication in critical or emergency situations.

4. Limitation of Liability

To the maximum extent permitted by law:

• ProTalkie and its providers shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of data, loss of profits, missed communications, or damages resulting from reliance on the App.

• We are not responsible for any harm, injury, or loss caused by failed or delayed delivery of Talkie messages.

• Your sole remedy for dissatisfaction with the App is to discontinue use.

5. Intellectual Property

• All rights, titles, and interests in ProTalkie (including software, design, trademarks, and logos) remain our property or our licensors’.

• You may not use our intellectual property without prior written consent.

6. Termination

We may suspend or terminate your access to ProTalkie at any time, without notice, if you breach these Terms or misuse the App. Upon termination, all rights granted to you under these Terms shall end immediately.

7. Updates & Modifications

• We may update ProTalkie and these Terms from time to time. Updates will be effective immediately upon posting.

• Continued use of the App after changes constitutes acceptance of the revised Terms.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved exclusively in the courts of Gurgaon, India.

9. No Warranty

• ProTalkie is provided on an “as is” and “as available” basis, without warranties of any kind.

• We disclaim all warranties, express or implied, including fitness for a particular purpose, reliability, or non-infringement.

10. Indemnification

You agree to indemnify and hold harmless ProTalkie, its officers, employees, affiliates, and service providers from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the App, your content, or violation of these Terms.
